Software Licenses

EMBR Labs (“Company,” “we,” or “us”) has distributed Software in binary form that includes, but is not limited to, firmware running on our Embr Wave® and Wave® 2 devices, software for mobile devices, and cloud or server-based systems.

Subject to our Terms and any other agreement between you and us, we grant you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to use this Software solely in the manner enabled by us and for your personal, non-commercial use.

Embr grants you a license to make use of Embr-provided Software, subject to those conditions of use of our product that are described here, in our Terms of Service agreement, and in the referenced license agreements provided below.

Embr-provided software, documentation, interface, and data that came with your Embr device as may be updated or replaced are licensed, not sold, by Embr to you for use only under the terms of this License. Embr and its licensors retain sole ownership of the Embr-provided software itself and reserve all rights not expressly granted to you.

You agree that the terms of this License will apply to any Embr-provided software that may be featured on any Embr devices, mobile devices, and server systems. Embr, at its discretion, may make updates to Embr-provided software. Unless the Embr-provided software update is accompanied by a separate license, the terms of this License will govern any software updates provided by Embr that supplement and/or replace any prior Embr-provided software. If the Embr-provided software update is accompanied by a separate license, the terms of that license will govern.

You agree to use the Embr devices, Embr-provided software and Embr-provided services in compliance with all applicable laws, including any local laws of your country or region of residence or in which you download or use Embr devices and Embr-provided software and services.

Embr devices are NOT medical devices. Embr devices are not intended nor designed for use in diagnosing disease or other conditions. Embr devices are not intended nor designed for use in mitigation, treatment, cure or prevention of any condition or disease. Please consult a healthcare provider prior to making any decisions related to your healthcare in compliance with all applicable laws.

You may not rent, lease, lend, redistribute, or sublicense Embr-provided software. However, you may make a permanent one-time transfer of all of your license rights to the Embr-provided software to another party in connection with the transfer of ownership of your Embr device, provided that the transfer includes your Embr device and all of the Embr-provided software including this license, you do not retain any copies of the Embr-provided software, and the party receiving the Embr-provided software both reads and agrees to the terms and conditions of this License.

You may not, and you agree not to and not to enable others to reverse engineer, reverse assemble or decompile, or otherwise attempt to derive, source code, modify, or create derivative works of the Embr-provided software or any Embr-provided services or any part thereof (except as and only to the extent any foregoing restriction is prohibited by applicable law or by licensing terms governing use of open-source components that may be included with the Embr-provided software). You agree not to remove, obscure, or alter any proprietary notices (including trademark and copyright notices) that may be affixed to or contained within the Embr-provided software.

MATLAB and Simulink are products designed and developed by The MathWorks, Inc. The installation and use of the MATLAB and Simulink products are governed solely by the applicable terms and conditions pursuant to which you obtained such software products from The MathWorks, Inc. or from its distributors. In no event shall MathWorks and its Licensors be liable for any damages or remedies arising in any way out of the use of this software.
